PREMESSA

Una start-up innovativa è una particolare forma di società di capitali, prevista nell’ordinamento italiano, che possiede i seguenti requisiti generali:

• è costituita e svolge attività d’impresa da non più di quarantotto mesi;
• ha la sede principale dei propri affari e interessi in Italia;
• a partire dal secondo anno di attività della start-up innovativa, il totale del valore della produzione annua, così come risultante dall’ultimo bilancio approvato entro sei mesi dalla chiusura dell’esercizio, non è superiore a 5 milioni di euro;
• non distribuisce, e non ha distribuito, utili;
• ha, quale oggetto sociale esclusivo o prevalente, lo sviluppo, la produzione e la commercializzazione di prodotti o servizi innovativi ad alto valore tecnologico;
• non è stata costituita da una fusione, scissione societaria o a seguito di cessione di azienda o di ramo di azienda;

La definizione di start-up innovativa è contenuta nell’articolo 25 del decreto-legge 18 ottobre 2012, n. 179, convertito con modificazioni dalla L. 17 dicembre 2012, n. 221; a cui si rimanda anche per la consultazione dei requisiti specifici.

Le Startup Innovative sono società di capitali che hanno come oggetto sociale esclusivo o prevalente “lo sviluppo, la produzione e la commercializzazione di prodotti o servizi innovativi ad alto valore tecnologico”.

Dal 20 Luglio 2016 per costituire una startup innovativa in forma di società a responsabilità limitata i contraenti possono redigere un atto pubblico e firmarlo digitalmente in conformità al modello standard tipizzato.

La Camera di Commercio supporta gli imprenditori nella stesura di Atto e Statuto, verificando la correttezza di quanto dichiarato e assolvendo ai successivi adempimenti obbligatori per loro conto, secondo quanto stabilito dall’art. 25 del CAD. LA FOTOGRAFIA DEL QUARTO TRIMESTRE 2020

Pubblicata la 18ª edizione del Rapporto trimestrale di monitoraggio pubblicato dal MISE, in collaborazione con Unioncamere e InfoCamere.

Grazie a questa misura, operativa a partire dal luglio del 2016, gli imprenditori innovativi italiani possono costituire la propria startup secondo una modalità interamente digitalizzata, con il supporto tecnico della propria Camera di Commercio (CCIAA) o in totale autonomia. L’esenzione dall’atto notarile consente un risparmio medio sui costi d’avvio stimato in circa 2mila euro.

Nel quarto trimestre 2020 si sono iscritte alla sezione speciale 338 nuove startup innovative costituite online, il numero più alto tra tutti i trimestri dal 2016.

Al 31 dicembre 2020 sono 3.579 le startup innovative avviate grazie alla modalità di costituzione digitale e gratuita (157 in più rispetto l’anno precedente)

Il rapporto, oltre a evidenziare la distribuzione territoriale regionale delle start up costituite con la nuova modalità, affronta due aspetti di particolare interesse: il tasso d’adozione territoriale della modalità online sul totale delle imprese di nuova costituzione, e la durata media delle pratiche.

Per ciò che concerne la distribuzione territoriale, la Regione Puglia con 174 start up costituite on-line rappresenta il 4,9% del totale nazionale.  Nel 2020, Il tasso d’adozione regionale della nuova modalità d’assunzione rispetto al totale delle nuove imprese, costituisce il 43,1% con 62 startup (è da segnalare il caso della Basilicata in cui il 100% delle startup innovative costituite nel corso del 2020 hanno adottato la modalità online). Altro indicatore per cui si riscontrano variazioni significative a livello territoriale è il tempo d’attesa medio tra la data di costituzione dell’impresa e l’ottenimento dello status di startup innovativa. In media, una startup innovativa costituita online attende 41 giorni per ottenere l’iscrizione nella sezione speciale delle startup innovative: un tempo d’attesa ridottosi però a circa 27 giorni per le società costituite nel corso del 2020.

E’ di qualche settimana fa l’intervista rilasciata da Gianmarco Carnovale a Startupitalia! (http://startupitalia.eu/67326-20170104-intervista-gianmarco-carnovale-roma-startup), nella quale il presidente di “Roma Start Up” attacca senza mezzi termini i fondi di venture capital (che non hanno il coraggio di rischiare davvero), il sistema bancario ed i grandi gruppi imprenditoriali italiani (che poco o nulla fanno per incentivare la crescita di imprese innovative), per finire con gli advisors e le società di consulenza, che quasi sempre puntano a guadagnare sulle start up senza fornire alcun valore aggiunto.

Le considerazioni di Carnovale possono condividersi o meno (e noi le condividiamo quasi in toto), ma sicuramente devono essere un input per aprire una discussione tra i soggetti che, in Italia, lavorano effettivamente per agevolare lo sviluppo dell’innovazione.

Questi anni passati sul campo, fianco a fianco con speranzosi startupper, condividendo sogni, aspettative, delusioni, amarezze, e, soprattutto, tanto lavoro, ci portano a pensare che questo sistema, in specie per come si sta evolvendo nel sud Italia, non sia più sostenibile e necessiti di un cambio di rotta vigoroso!

Il mondo delle start up è affascinante, ricco di entusiasmo e stimoli che nessun altro ambito imprenditoriale oggi può offrire, ma l’attuale proliferare di acceleratori, consulenti, eventi e premi, (che hanno in comune quasi sempre l’autoreferenzialità e l’obiettivo di lucrare poche centinaia sui sogni di giovani ed inesperti imprenditori), provoca esclusivamente la nascita esponenziale di start up assolutamente fallimentari ed inutili, che quasi sempre sono brutte imitazioni di cose che già esistono (con più o meno successo), senza alcuno studio, struttura o esperienza alle spalle.

Il diffondersi dell’idea che creare una start up, con lo scopo principale di ricercare soci finanziatori, sia la soluzione più veloce e meno faticosa per sfuggire alla disoccupazione ed alle difficoltà che una qualsiasi attività lavorativa comporta, rischia di provocare l’implosione del sistema prima che lo stesso abbia raggiunto la sua completa maturità.

Se si vuole davvero che l’ecosistema delle start up diventi un settore trainante per la crescita economica dell’intero sistema Italia, coinvolgendo un numero sempre maggiore di investitori e sviluppando l’open innovation, è necessario che i soggetti “virtuosi” adottino un modello etico, che punti in maniera chiara allo sviluppo ed alla crescita delle idee imprenditoriali davvero valide.

In un mondo dove il concetto di “etica” può sembrare una bestemmia, noi siamo convinti che coloro che operano in maniera davvero costruttiva affianco agli startupper, debbano avere una visione di lungo periodo, creando una rete di soggetti affidabili (e perché no, certificati) che possa diventare un porto sicuro per la crescita di giovani aziende.

Chi rischia davvero con le start up, investendo tempo e lavoro, non deve avere paura (anzi ha un dovere morale) di ideare un sistema che scoraggi le idee insostenibili cercando di promuovere tutti quei progetti che, invece, possono diventare trainanti per l’economia del nostro Paese.

Siamo certi che la sfida che attende nei prossimi mesi tutti gli operatori del settore sia quella di innalzare (in ogni ambito) il livello qualitativo dell’ecosistema delle start up, arrivando a “fare pulizia” come invocato da Gianmarco Carnovale.

The Order of Architects of Taranto, in fact, held that the aim of promoting the activities of their members and the purpose of providing them with the tools to improve their professional activity, can usefully be achieved through collaboration with Apulia Invest .

Apulia Invest, in fact, aims to promote the Region of Apulia in Italy and worldwide.  Basically Apulia Invest aims to present investment opportunities, project and development ideas to potential private and institutional investors. All of this in order to  help  a geographical area carachterized by undiscovered resources or, at least, little known outside national borders. So the main objective is to stimulate the economically, socially and entrepreneurially improvement of the Apulian region.

The willingness to cooperate (each for its own purposes) is materializing in the decision to build jointly the project “Reproject Apulia“.

In practice, by using “Reproject Apulia“, Apulia Invest will promote the design ideas or already completed projects and replicable projects made by members of the Order, presenting them to potential investors, using, for that purpose, its means and its contacts.

It should be noted that this partnership between Apulia Invest and the Order of Architects of Taranto, is an addition to many partnerships already signed with prestigious companies and organizations such as, for example, BackToWork24 (a “Gruppo 24 Ore” Company) and Tecnopolis PST (Science and Technology Park of the University of Bari).

Ultimately, Apulia Invest, with an increasingly complete and heterogeneous  partnership network, is able to offer more and more services of high quality and indisputable professionalism. With the wind in their sails towards the future.

Tecnopolis PST (in continuity with activities carried out by Technopolis CSATA in the period 1969-2008) promotes, manages and develops activities of its Technology Park through:

• management of technological and logistic services;
• the attraction of laboratories, R&D centers and innovative institutions or companies;
• the creation of new innovative companies and spin-offs;
• enhancement and technology transfer of research results to the benefit of businesses;

The agreement protocol signed between Technopolis PST and Apulia Invest aims to establish (as well as their partnership networks) long term synergies aimed at the sharing of know-how and best practices. It also aims to the cooperation for the development of local, national and European joint projects. Another joint purpose is to continuously expand and enhance this cooperation.

Basically, the purpose of this new important agreement is to structure a mutual cooperation in areas of great interest such as education, local development, European projects, entrepreneurship, cooperation, active citizenship, youth programs and so on, by sharing best practices. All this to promote the Apulian area and its economic reality and business.

Apulia Invest with this new partnership collects the recognition of the academic and university field as a reliable company ready to face the challenges that the future holds to the Apulian territory.

Apulia Invest, ultimately (in order to a continuous professional development) is being equipped with additional tools and capabilities in order to better respond to the demands and needs of its customers.

The Apulia Region and the Chamber of Commerce of Bari will indeed be featured at Transport Logistic, the world’s leading event in the logistics market, mobility and supply chain management.

The fair will be an opportunity to present new services (LCL MED and Bari Easy Port) made by the Chamber of Commerce of Bari as part of the strategic project GIFT 2.0, funded by the Community program cross-border cooperation Greece-Italy 2007-13, that sees the Apulia Region (Department of Transport and Mobility) as lead partner and the Chamber of Bari involved in the launch of pilot cases for freight traffic.

The Interport of the Apulia region will ensure, instead, the operation of both services, through its business unit IRP Intermodal & Logistics Services, in association with Istop Spamat enterprise, a company specializing in customs and portual services.

The LCL MED service will use the Interport as a consolidation platform of goods for export. The goods, once consolidated on, will be sent to their destination at the major worldwide redistributive platforms (Dubai, Hong Kong, New York, Singapore, Buenos Aires), using mainly the port of Bari for the boarding of the containers.

This will allow to offer more competitive rates to companies from Apulia and more generally in the Southern Italy, especially those in the food sector, which currently are required for the shipment of small quantities of goods, which are often not able to saturate a single container, using consolidation platforms located in northern Italy and to ship the goods, finally, from the ports of Genoa, la Spezia or Rotterdam.

In order to promote export to the countries of the Islamic religion, more and more interested in the products of Italian excellence, the consolidation warehouse at the Interporto of the Apulia region is also HALAL certificated, allowing companies with the same certification for the production process to ensure to the end customer the compliance with this standard even for the supply chain.

“BARI EASY PORT” service (long quayside) instead provides the realization within the interportual structure of an area of temporary custody, also equipped for the storage of containers of IMO/ADR goods (paints, detergents, chemicals, etc), which is connected with the Port of Bari by a dedicated shuttle service.

“BARI EASY PORT” service will transfer the just unloaded containers (including those containing IMO/ADR goods) at the port of Bari toward the Interport. In this regard they will  use regulated vehicles for customs and monitored by GPS.

Thanks to the  Interport Operating Section of the Customs Agency there will be more   efficiency in customs clearance of goods before their transfer to the final destination.

It is thanks to SMEs if we classified in second place preceded only by Germany in Europe by number of companies that in the last three years, so in full crisis, have focused on innovation. Our SMEs have introduced process and product innovations, raising the quality level of their activities. In fact, about  80% of the 65 481 Italian companies that have focused on innovation have less than 50 employees. Creativity, culture and innovation are one of the most powerful engines of the competitiveness of the made in Italy. That is why our cultural and creative sector can rely on nearly 1.4 million workers and on the front of the patents we do better than France and the UK: in 22 classes of design patents in Europe, on 32 total, Italy is first, second or third by number of registered projects.

Approximately 58% of our SMEs, besided, got advantage by professionalisms closely connected to the world of creativity. And they are still our businesses with less than 50 employees to lead the ‘green conversion‘ of the European employment: from the end of 2014, about 51% of small and medium-sized Italian companies have at least one green job, more than United Kingdom (37 %), France (32%) and Germany (29%).

A strategic choice that looks to the future and which already earns in terms of exports (among manufacturing enterprises, 44% of those who invest in green export steadily, compared to 24% of the other) and innovation (30% against 15 %). And again in our own galaxy of small businesses, micro, small and medium enterprises should be recognized over 1/5 (77 billion euro) of the value added  produced in Europe by manufacturing companies up to 50 employees. Our small and medium-sized enterprises are a quarter of SMEs exporting in Europe (more than the German enterprises: 14.5%) and represent much as 90% of total manufacturing firms exporting in our country.

This is what emerges from the dossier “The SMEs and the quality challenge: a custom made economy to Italy” by CNA and Symbola Foundation.

This document identifies the potential and strengths of the Italian system by which we can get back to racing. Such as our unique talents, our know-how, the beauty and culture. Traditions to be renewed by betting on research, creativity and sustainability, on our ability to create quality and by focusing on advanced technologies, on the web, on the  sharing economy. Our SMEs show a marked ability to establish itself outside our borders, even on rarely visited markets, which is linked to the bet on quality. This is demonstrated by the trend of average unit values of our products, that in the last decade (2002 – 2015) grew at rates higher than those of other major European countries. By virtue of the quality of our products the market recognizes us therefore higher prices. So much that we are actually first in the world for average unit value of 255 products. Including many coats of arms of the made in Italy: from the food farming to mechanics, from furniture and design to fashion.

“The survey shows – as stressed by the President of the CNA, Daniele Vaccarino - that quality is an innate characteristic of our country, strongly present also and especially in our economic system, consisting for the most part by SMEs. One feature that emerges strongly in the artistic and cultural territory/heritage combination. This combination can be a driving force for the development of many economic activities, from manufacturing to services, in which SMEs can and should be leaders. But to exploit this combination, you need to focus on quality.

“I would like to express the greatest satisfaction because of the new investment operated by Getrag, a German company, in Apulia, renewing confidence in our own territory and by deciding to invest in the plant placed in Modugno (Bari) more than 100 million euro.

This is what Loredana Capone (Regional Minister for Economic Development) said commenting the news just received by Bob Taylor, managing director of Getrag in Modugno (Bari).

This – she added – is the concrete result of the ability of Apulia to attract large investments in its territory. Therefore we respond to the pessimistic economists with the evidence. Our region is attractive not only for its enchanting land but also for the ability to do research and innovation and for the efficiency and competence of the men and women who work in its territory. It is this last aspect to have convinced the managers of Getrag to invest in Modugno. The know-how of the employees of the apulian seat has played a key role in the identification of the site of Modugno as producer of the new transmission system, which required a lot of research”.

“So Getrag -  the commissioner said – renews confidence in our area and the regional administration. I would remind, in fact, that the German group has already invested in Apulia additional 75 million euro thanks to two regional contracts of program, a tool that, in addition to the reasons of attractivness of Apulia, has already generated in our area more than 427 million of investment by foreign groups”.

Getrag will realize in Modugno as well as in Germany and in China a new dual-clutch transmission with high technology 7DCT300, a particularly smart and intelligent  system, whose use enables an energy consumption of about 20W – less than that of a light bulb – and with a superior efficiency of 10-20% than a comparable automatic transmission.

For this reason the plant will be expanded by 8000 square meters and they will build new production facilities. The expansion work will begin during this year.

The meeting was also attended by representatives of the departments and agencies of the Region of Apulia (Puglia Sviluppo SpA, Mediterranean Department of Puglia Region, ARTI – Regional Agency for Technology and Innovation, Tecnopolis) and European organizations (EBN – European Business & Innovation Centre Network).

Depending on their mission and their powers, the various participants examined to better understand the development opportunities as part of the Green Economy. It was also an occasion to explore opportunities for multidisciplinary collaborations aimed at optimizing the internationalization and networking between institutions and enterprises in both countries, so as to share solutions useful to the resolution of common problems.

“È una nuova è importante sfida globale – ha detto Loredana Capone, assessore allo Sviluppo economico della Regione Puglia – cittadini, imprese ed enti pubblici avranno a disposizione un ‘contenitore enorme’. I 61.728.411,35 di euro che abbiamo utilizzato con questo bando rappresentano solo il primo step di un lungo cammino che abbraccerà i prossimi sette anni e consentirà a giovani specializzati e ricercatori di trovare nuove occasioni di lavoro mentre alle imprese tradizionali la possibilità di lavorare meglio e con strumenti nuovi. C’è bisogno, allora, dell’impegno di tutti: del settore ICT, delle imprese, delle associazioni, degli enti, dei cittadini. È un investimento vitale per la nostra economia”.
“Stiamo vivendo – ha concluso l’assessore – un’esperienza unica: la crisi sta cambiando i modelli di consumo delle persone mentre l’innovazione stravolge quelli di produzione e di vendita. Usare le nuove tecnologie può far correre il rischio di diminuire gli occupati, oppure, generare nuove opportunità. Dobbiamo decidere noi, i pugliesi, il Paese, se rimanere nella condizione della crisi o entrare in quella delle opportunità. La Banda Ultra Larga è una delle strade su cui far camminare i nuovi progetti e le nuove idee”. La Regione Puglia persegue da tempo una propria visione sulla Banda Larga e Ultra Larga. E’ del 2011, infatti, il “Piano Strategico Regionale per lo sviluppo della Banda Larga in Puglia” che definisce gli indirizzi regionali in materia di infrastrutturazione a Banda Larga e Banda Ultra Larga. La strategia, oltre a portare a sistema le iniziative progettuali già sviluppate o in corso di realizzazione sul territorio, rappresenta un quadro di riferimento cui tutte le misure regionali tendono in sinergia. Lo stesso “bando per lo sviluppo delle Rete a Banda Ultra Larga nella Regione Puglia” è il risultato di un lavoro di squadra che ha già portato la Puglia ai vertici della copertura della banda larga.

Il bando, aggiudicato da Telecom Italia, è finanziato nell’ambito di un accordo tra Regione Puglia e Ministero dello Sviluppo Economico, con un contributo pari a 61.728.411,35 di euro di cui 41.806.111,35 a valere sul POR FESR Puglia 2007-2013 – PAC, Asse I; 17.000.000,00 a valere sulla Delibera CIPE n. 62/2011, nell’ambito dell’Accordo di Programma Quadro sottoscritto in data 25 Luglio 2013; 2.922.300,00 a valere sul cofinanziamento statale per progetti a favore dei sistemi distrettuali di cui al D.M. 7 Maggio 2010 del Ministro dello Sviluppo Economico di concerto con il Ministro dell’Economia e delle Finanze. E’ stato concepito dal governo Monti per portare la banda ultra larga nelle cosiddette zone del sud a fallimento di mercato ossia dove il mercato da solo non dimostra interesse a investire.
L’obiettivo è portare connettività ad almeno 30 megabit per secondo (Mbps, unità di misura che indica la capacità-velocità di trasmissione dei dati su una rete) e a 100 Mbps, sfruttando il modello Nga (Next generation Access).
